Bylaw Amendments
The Board of the Lane County Bar Association is proposing several amendments to the organization's bylaws, explained below. All proposed changes can be found here.
Per our bylaws, all current Regular Members are invited to vote on each amendment. There is a ballot at the bottom of this screen. To vote, you must be logged into your membership account.
This vote will remain active for one week, from Monday, November 9 at 8:00am PT to Monday, November 16 at 8:00am PT. If, after voting, you would like to change your vote, please email the website admin.
Amendment 1: Expanding Membership and Clarifying 'Significant Ties'
LCBA is proposing that the definition of "Regular Member" be expanded to include (1) licensed paralegals and (2) those holding a provisional license to practice under the SPPE program. These members, like attorney members, must be in good standing.
The Amendment to Article II also further defines "significant ties" for those members who may not currently be members of the Oregon State Bar, like retired attorneys and judges, who are seeking membership. This will help the Board when determining whether to, per the current bylaws, approve someone's membership to the Bar.
The proposed changes are detailed below.
Amendment 2: Creating an 'Immediate Past President' Position on the Board of Directors and Defining 'Ex Officio' Non-Voting Members
The Board is also proposing the addition of an ex officio, non-voting position to the Board for the Immediate Past President. This would allow for continuity between boards and greater sharing of institutional knowledge.
The Amendments to Article IV defines the Immediate Past President position, as well as clarifies the limitations, duties, and other terms regarding ex officio members to the Board, including that they are non-voting members, may be removed the same as other Directors, and exercise similar duties of loyalty and diligence as Directors. This definition will help clarify ex officio members' roles: for example, the Lane County Bar News Editor, who per the current bylaws already is a non-voting, ex officio member of the Board.
The Amendments to Article III adds language to clarify that this position will not be counted when determining how many Directors are on the board, whether a quorum is reached, and whether a motion has passed.
Finally, the proposed Amendments to Article VII clarifies that certain Amendments, which will now include the creation of any additional non-voting, ex officio Board positions, are reserved for the Voting Members and must be approved by them.
